♦️ Purchase Conditions

Introduction

These Purchase Conditions govern the sale and supply of products and services by Smooth Flowmeters. By placing an order with us, the customer agrees to these terms and conditions unless otherwise agreed in writing. These conditions are intended to ensure transparency, fairness, and a smooth business relationship between Smooth Flowmeters and its customers.

Quotations

All quotations issued by Smooth Flowmeters are valid only for the period specified in the quotation. Quotations are based on the technical specifications, quantities, and commercial terms available at the time of issue. Any changes in specifications, quantity, delivery schedule, or applicable taxes may result in a revised quotation.

Order Confirmation

Purchase Orders become effective only after written confirmation from Smooth Flowmeters. Any modifications, cancellations, or changes to the order after confirmation are subject to our written approval and may involve additional costs or revised delivery schedules.

Product Selection

Customers are responsible for selecting products suitable for their intended application. While Smooth Flowmeters provides technical guidance and recommendations, the final product selection remains the responsibility of the customer based on the operating conditions and application requirements.

Pricing & Taxes

Unless otherwise stated in the quotation, all prices are exclusive of GST, freight, insurance, installation, commissioning, and any other applicable taxes or statutory charges. Taxes shall be charged as per the prevailing Government regulations on the date of invoicing.

Payment Terms

Payment shall be made strictly in accordance with the terms mentioned in the quotation, purchase order, or invoice. Smooth Flowmeters reserves the right to withhold production, dispatch, warranty support, or other services in case of delayed or outstanding payments.

Manufacturing & Delivery

Manufacturing will commence after receipt of the confirmed Purchase Order, technical approval (where applicable), and agreed advance payment. Delivery schedules provided by Smooth Flowmeters are estimates based on production planning and material availability. While every effort is made to meet the committed schedule, delays due to circumstances beyond our control shall not constitute grounds for cancellation or compensation.

Packing & Shipping

Products are packed using suitable industrial packaging methods to ensure safe transportation. Special packaging, export packing, or customer-specific packing requirements shall be provided upon request and may be charged separately.

Inspection & Acceptance

Customers are requested to inspect all products immediately upon receipt. Any shortages, transit damage, or discrepancies should be reported in writing within 48 hours of delivery. Failure to report within the specified period may be deemed as acceptance of the goods.

Order Cancellation

Confirmed orders may only be cancelled with prior written approval from Smooth Flowmeters. Customized, engineered, calibrated, or made-to-order products cannot be cancelled once manufacturing has commenced. Any cancellation charges incurred during production shall be borne by the customer.

Warranty

All products are covered under the applicable Smooth Flowmeters Warranty Policy against manufacturing defects under normal operating conditions. Warranty does not cover damage resulting from improper installation, misuse, unauthorized modifications, accidents, chemical incompatibility, electrical faults, or normal wear and tear.

Returns & Repairs

Products may be returned only after obtaining written authorization from Smooth Flowmeters. All returned products shall undergo inspection before approval for repair, replacement, or warranty service. Products returned without authorization may not be accepted.

Limitation of Liability

Smooth Flowmeters' liability shall be limited to the repair or replacement of defective products covered under warranty. Under no circumstances shall Smooth Flowmeters be liable for indirect, incidental, consequential, or special damages, including production losses, downtime, or loss of profits.

Force Majeure

Smooth Flowmeters shall not be held responsible for delays or failure to perform its obligations due to events beyond its reasonable control, including natural disasters, fire, floods, strikes, pandemics, transportation disruptions, government actions, war, or other force majeure events.

Governing Law

These Purchase Conditions shall be governed by the laws of the Republic of India. Any disputes arising from the purchase or supply of products shall be subject to the exclusive jurisdiction of the competent courts at Thane, Maharashtra, India.
